These Terms of Service ("Terms") govern your access to and use of the Vehlytics fleet operations intelligence platform and website at vehlytics.com ("Service"), operated by Vehlytics ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Vehlytics is a fleet operations intelligence platform that provides real-time fleet status tracking, out-of-service management, maintenance scheduling, analytics, and integration capabilities. The Service operates on Google Workspace infrastructure and delivers its functionality through Google Apps Script, Google Sheets, and associated web applications.
The Service is intended for business use by organizations that manage vehicle fleets. By using the Service, you represent that you have the authority to bind your organization to these Terms. You are responsible for maintaining the security of your Google Workspace account and for all activity that occurs under your account.
Vehlytics is offered on a per-location, per-month subscription basis across multiple tiers (Basic, Professional, and Enterprise). Current pricing is available on our website. We reserve the right to modify pricing with 30 days' advance notice. Price changes will not affect the current billing period.
Subscription fees are billed in advance. If payment is not received within 15 days of the invoice date, we may suspend access to the Service until payment is received.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your organization's internal fleet management purposes. You may not sublicense, resell, redistribute, or make the Service available to third parties. You may not reverse-engineer, decompile, or attempt to extract the source code of the Service.
You retain all ownership rights to the fleet data, maintenance records, and other operational information you enter into the Service ("Your Data"). Your Data is stored in Google Sheets within your own Google Workspace account. We do not claim any ownership interest in Your Data.
You grant us a limited license to access and process Your Data solely to the extent necessary to provide, maintain, and improve the Service. This license terminates when your subscription ends.
You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights and permissions to provide any data you enter into the Service, including any data about vehicles, drivers, or employees.
The Service, including all code, design, documentation, and related materials, is owned by Vehlytics and protected by applicable intellectual property laws. The Vehlytics library code is delivered as a protected Google Apps Script library — the underlying source code is proprietary and confidential. Your subscription provides a license to use the Service, not ownership of any intellectual property.
The Service operates within and depends on Google Workspace infrastructure. Your use of Google Workspace services is governed by Google's Terms of Service and Privacy Policy. We are not responsible for changes, outages, or limitations imposed by Google on its Workspace platform. You are responsible for maintaining a Google Workspace account with sufficient permissions and features to support the Service.
The Service may integrate with third-party platforms such as Samsara, IBM Maximo, Fleetio, MaintainX, UpKeep, and Google Calendar at your direction. You are responsible for maintaining valid credentials and permissions for any third-party integrations you enable. We are not responsible for the availability, accuracy, or security of third-party services.
You agree not to use the Service to violate any applicable law or regulation; transmit malicious code or interfere with the Service's operation; access or attempt to access data belonging to other customers; exceed the scope of your subscription tier; or use the Service for any purpose other than fleet operations management.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service depends on Google Workspace infrastructure, and availability is subject to Google's uptime. We may perform maintenance that temporarily affects access, and we will provide reasonable advance notice when possible.
To the maximum extent permitted by law, Vehlytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim.
The Service is a fleet operations management tool and is not a substitute for professional safety, maintenance, or compliance judgment. You are solely responsible for all fleet management decisions made using information from the Service.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that it will be error-free.
Either party may terminate the subscription by providing 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your license to use the Service ends, but Your Data remains in your Google Sheets — you retain full access to your spreadsheet and all data within it.
We may update these Terms from time to time. If we make material changes, we will notify you by updating the effective date on this page and, where appropriate, providing notice through the platform or via email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your subscription.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York.
